Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by MysticPayload B.V. (Registration Number: 95236525), a company incorporated under Dutch law and located at Stationsweg 25, 1325 VX Almere, Flevoland, Netherlands ("MysticPayload", "we", "our", or "us"). By accessing our website, engaging our services, or entering into any agreement with MysticPayload, you ("Client", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Description of Services

MysticPayload provides financial education, consulting, and advisory services including but not limited to:

• Financial education courses and materials
• Investment guidance and portfolio analysis
• Side business and income diversification consulting
• Wealth building strategy development
• General financial planning advice

Our services are educational and advisory in nature. We do not provide investment management services, act as a broker-dealer, or manage client funds directly. All investment decisions remain solely with the client.

Client Obligations

As a client of MysticPayload, you agree to:

• Provide accurate, complete, and current information when requested
• Use our services only for lawful purposes and in accordance with these Terms
• Maintain the confidentiality of any login credentials or access information
• Pay all fees and charges as agreed upon in your service agreement
• Not reproduce, distribute, or commercially exploit our proprietary materials without written consent
• Inform us promptly of any changes in your financial situation that may affect our advice
• Acknowledge that you are responsible for your own investment decisions and their consequences

Fees and Payment

Fees for our services are clearly outlined in your service agreement or as communicated during the engagement process. Payment terms are typically 30 days from invoice date unless otherwise specified. Late payments may incur additional charges. We reserve the right to suspend services for overdue accounts. All fees are exclusive of applicable taxes, which will be added where required by law.

Intellectual Property

All content, materials, courses, methodologies, and intellectual property provided by MysticPayload remain our exclusive property. This includes but is not limited to written materials, presentations, software, logos, trademarks, and proprietary analysis methods. Clients are granted a limited, non-exclusive, non-transferable licence to use these materials solely for their personal financial planning purposes. Any unauthorised reproduction, distribution, or commercial use is strictly prohibited and may result in legal action.

Disclaimers and Risk Warnings

Limitation of Liability

To the maximum extent permitted by law, MysticPayload's liability to clients is limited to the fees paid for the specific service that gave rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to investment losses, lost profits, business interruption, or loss of data. This limitation applies regardless of whether the claim is based in contract, tort, negligence, or any other legal theory. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

Indemnification

Clients agree to indemnify and hold harmless MysticPayload, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) the client's use of our services, (b) violation of these Terms, (c) investment decisions made by the client, or (d) any false or misleading information provided by the client.

Confidentiality

MysticPayload maintains strict confidentiality regarding all client information and will not disclose personal or financial details to third parties except as required by law or with explicit client consent. This confidentiality obligation continues indefinitely, even after the termination of our services. Clients similarly agree to maintain confidentiality regarding MysticPayload's proprietary methodologies and business practices.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Amsterdam, Netherlands. If you are a consumer resident in the European Union, you may also have the right to bring proceedings in the courts of your country of residence.

Termination

Either party may terminate the service relationship at any time with written notice. MysticPayload reserves the right to terminate services immediately if clients violate these Terms, engage in fraudulent activity, or fail to pay fees as agreed. Upon termination, clients remain responsible for all outstanding fees and must cease using any proprietary materials. Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.

Regulatory Compliance

MysticPayload operates in compliance with applicable Dutch and European Union financial regulations. We are committed to maintaining the highest standards of professional conduct and regulatory compliance. Clients acknowledge that regulatory requirements may change, and we reserve the right to modify our services or these Terms to ensure continued compliance.

Modifications to Terms

MysticPayload reserves the right to modify these Terms at any time. Material changes will be communicated to clients via email or through our website. Continued use of our services after such modifications constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you may terminate your relationship with us in accordance with the termination provisions.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.
